    Pre-pack dossier: Smallsteps for men, one giant leap for mankind

    The pre-pack procedure is not having an easy time of it. In a previous blog, we reported that the advocate general of the European Court of Justice (ECJ) had concluded that the Dutch pre-pack procedure cannot be regarded as bankruptcy or liquidation proceedings, and that the provisions for transfer of undertaking therefore also apply to pre-packs. The ECJ has now confirmed his standpoint.

    Pre-pack toch overgang van onderneming?

    Het blijft nog even spannend rondom de pre-pack. De pre-pack is een methode waarbij de ondernemer die zijn faillissement ziet aankomen de rechter verzoekt een beoogd curator aan te stellen om te onderzoeken of een doorstart na het faillissement mogelijk is. Rechtbanken oordelen verschillend over de toelaatbaarheid van het toepassen van de pre-packmethode. Het wetsvoorstel Wet Continuïteit Ondernemingen I (‘WCO I’) moet aan deze onzekerheid een einde maken en de pre-pack een wettelijke basis geven.

    Transfer of undertaking despite pre-pack?

    Pre-pack continues to be a hotly discussed topic. The term refers to when entrepreneurs who expect to go bankrupt request the courts to appoint a receiver to look into the possibility of a restart following bankruptcy. Courts vary as to their standpoint concerning the acceptability of applying the pre-pack method. The purpose of the proposed Continuity of Businesses Act I (WCO I) is to put an end to such uncertainty and to enshrine pre-pack in law.

    Employees (really) protected in the case of a pre-pack?

    According to a recent judgment by the Limburg District Court, a pre-pack procedure, or pre-pack, may no longer be used to dismiss employees or re-employ them on different terms of employment.

    Een pre-packprocedure, kortweg pre-pack, mag niet meer worden gebruikt om werknemers te ontslaan of in dienst te nemen tegen andere arbeidsvoorwaarden. Zo oordeelde een kantonrechter van Rechtbank Limburg recent.

    Het gaat de “pre-packprocedure” niet voor de wind. In een eerder blog schreven we al dat de advocaat-generaal bij het Europese Hof van Justitie (“Europese Hof”) concludeerde dat de Nederlandse pre-packprocedure geen faillissementsprocedure of procedure gericht op liquidatie is. Naar zijn oordeel gelden daarom de bepalingen inzake overgang van onderneming ook bij een pre-pack. Het Europese Hof volgt hem daar nu in.

    Hoge Raad: Adviesrecht OR geldt ook bij doorstart na faillissement

    Op 26 mei 2016 oordeelde de Ondernemingskamer (OK) dat de curator in het faillissement van drogisterijketen DA Retailgroep (DA) de OR niet om advies hoefde te vragen over de doorstart van het bedrijf. Afgelopen vrijdag 2 juni 2017 maakte de Hoge Raad korte metten met deze uitspraak.

    Dutch Supreme Court: works council’s consultation rights apply in case of relaunch following bankruptcy
    2017-06-07

    On 26 May 2016, the Enterprise Division of the Amsterdam Court of Appeal (OK) ruled that the liquidator in the bankruptcy of the DA Retailgroep drugstore chain (DA) was not required to consult with the works council concerning the relaunch of the business following its bankruptcy. But on Friday, 2 June 2017, the Supreme Court gave short shrift to this judgement.
